Intellectual Property & Design Materials
All drawings, renderings, plans, specifications, concepts, pricing structures, and design materials remain the intellectual property of Ontario Pergola unless otherwise agreed in writing.

Quotes & Pricing
All estimates are subject to change until confirmed in writing and accompanied by the required deposit. Estimates are typically valid for 30 days.

Deposits & Custom Orders
A non-refundable deposit is required. Custom-ordered products require a 50% deposit. Materials remain the property of Ontario Pergola until paid in full.

Payments & Overdue Accounts
Overdue balances are subject to interest at 5% per month, compounded every 30 days, not exceeding the maximum rate permitted under applicable law. Ontario Pergola reserves the right to recover overdue balances through legal proceedings or collection services. Clients agree to reimburse Ontario Pergola for all reasonable legal fees, arbitration costs, collection costs, and related expenses incurred in enforcement.

Warranty
Warranty coverage begins on the date of installation and is contingent upon full payment of the contract balance. Warranty periods are not extended, paused, or tolled due to non-payment, dispute, or legal proceedings.

  • Snow load, ice accumulation, and failure to follow winter procedures are not covered.

  • Louvred pergola systems must remain open during winter months.

  • Motors and manual operating mechanisms must not be used when components are frozen or obstructed.

  • Damage from operation under frozen conditions is not covered.

  • Warranty claims must be submitted in writing. Ontario Pergola reserves the right to suspend or refuse warranty service, additional work, or future engagement where accounts remain unpaid or disputes are unresolved.

Limitation of Liability
Ontario Pergola is not liable for indirect, incidental, consequential, or special damages, including loss of profits. Total liability from any claim shall not exceed the total contract value.

Force Majeure
Ontario Pergola is not liable for delays caused by events beyond reasonable control, including weather, supply chain disruptions, transportation delays, labour shortages, manufacturer delays, or government restrictions.

Project Timelines & Delivery
Estimated timelines are for planning purposes only and are not guaranteed.

Site Conditions
Hidden or unforeseen site conditions may result in additional charges.

Permits & Approvals
Unless expressly agreed in writing, Ontario Pergola is not responsible for obtaining building permits or regulatory approvals.

Dispute Resolution
Parties agree to attempt good-faith mediation in Ontario. If unsuccessful, Ontario Pergola may elect binding arbitration under the Arbitration Act, 1991, or pursue court proceedings in Ontario.

Governing Law
These Terms are governed by the laws of Ontario, Canada.
